NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING IN THE SWEEPSTAKES, PARTICIPANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR, WHICH SHALL BE FINAL AND BINDING IN ALL RESPECTS. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.
1. ELIGIBILITY: The Sweepstakes is open only to legal U.S. residents residing in one (1) of the fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older (19 or older if a resident of Alabama or Nebraska) with a valid US driver’s license or government issued photo ID at the time of entry. The following persons are not eligible to participate: employees, contractors, directors, and officers of Frito-Lay, Inc. (“Sponsor”), Pepsi-Cola Company and its bottlers, Genesco Sports Enterprises, Inc. (“Administrator”), and each of their respective parent, subsidiary and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, “Promotion Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent, and/or “step”) of each and those living in their same households (those persons whether related or not who live in the same residence for at least three [3] months during the twelve-month period preceding the start date of the Sweepstakes).
2. SWEEPSTAKES PERIOD: The Sweepstakes begins on August 12, 2024 at 12:00:00 p.m. Central Time (“CT”) and ends on September 28, 2024 at 11:59:59 p.m. CT (“Sweepstakes Period”). The time clock of the computer administering this Sweepstakes is the official time-keeping device of the Sweepstakes.
3. HOW TO ENTER: There are two (2) ways to enter as described below.
A. PURCHASE ENTRY: During the Sweepstakes Period, purchase any specially-marked bag of Lay’s® Honey Butter flavored Potato Chips, Lay’s® Masala flavored Potato Chips or Lay’s® Tzatziki flavored Potato Chips. Next, scan the QR Code on the bag you purchased to access the online entry page, www.laysflavordrop.com (the “Website”). At the Website, follow the online instructions to complete and submit the entry form to include the “Combined Code” found on the bag. A Combined Code consists of the bell-marker code located below the “guaranteed fresh” statement on the front of the bag and ten (10) digits of the UPC code (the ten (10) digits appearing between the black bars) on the back of the same bag (“Combined Code”). Sponsor does not guarantee the availability of all flavors at a particular retailer. QR Code is registered trademark of DENSO WAVE INCORPORATED.
Participants must have a smart phone or other web-enabled device with a camera feature or code reader application and may incur data charges from their wireless service provider for each use of the code, depending on their service plan. Participants are solely responsible for any such wireless charges associated with such use, including the downloading (if applicable) and use of the code reader. If you do not have a code reader on your phone, search for one in your mobile device’s application store to find available code readers for your phone or device or visit the Website and complete the entry form, with inclusion of the Combined Code from the bag you purchased.
B. NO PURCHASE NECESSARY: To enter without making a purchase, hand print your first and last name, complete mailing address (no PO Boxes), daytime phone number, date of birth, and email address on a 3” x 5” index card or piece of paper and place your entry into an outer-mailing envelope with proper postage affixed and mail it to: Lay’s Flavor Drop: Global Edition Sweepstakes, c/o GSE, PO Box 130, Dept. 24-8105-13, Glencoe, MN 55336-0130 to be postmarked by September 28, 2024 and received by October 7, 2024. Each mail-in entry must be mailed in a separate hand-addressed, postmarked envelope. Limit one (1) mail-in entry per stampedouter envelope. No photocopied or mechanically reproduced entries accepted. No responsibility is assumed by Sponsor for lost, late, mutilated, illegible, incomplete, misdirected or postage-due mail or entries. Entries become property of Sponsor and will not be returned.
Limit one (1) entry per person/email address per day, regardless of entry method. A day is understood to start at 12:00:00 a.m. CT and end at 11:59:59 p.m. CT on the same day except the first day of the Sweepstakes Period which will begin at 12:00:00 p.m. (noon) CT and end at 11:59:59 p.m. CT.
All participants must have a valid email address. Multiple participants may not share the same email address. The potential winners may be requested to provide Sponsor with proof they are the authorized account holder of the email address associated with the winning entry and/or an eligible participant. Each submission must be manually key stroked and/or manually entered by the individual participant; automated and/or repetitive electronic submission of entries (including but not limited to entries made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from these or related email addresses/IP addresses may be blocked. If it is discovered that a participant used multiple email addresses, phone numbers and/or mailing addresses, and/or manipulating such information, for the purpose of obtaining more than one (1) entry per day, such person will be disqualified and all of their entries will be deemed invalid and any prize won by such person shall be forfeited and returned if previously awarded.
In the event that a dispute regarding the identity of the individual who submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of Sponsor may be disqualified. All entrants submitting materials/content/comments as part of the Sweepstakes will be non-exclusively licensing (with the unlimited right to sublicense) to Sponsor and Promotion Parties the right to use such materials, and the images related thereto (including entrant’s name, social media account username and likeness), for any purpose (including any and all commercial purposes) with the right to modify the materials and make derivative works thereof. Entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void.
4. RANDOM DRAWING: The potential winners will be selected in a random drawing on or about October 8, 2024 from among all eligible entries received by the Administrator, whose decisions are final in all matters relating to this Sweepstakes. Odds of winning depend on the number of eligible entries received. Limit one (1) prize per person/household.
5. PRIZE DETAILS: Five (5) prizes are available to be awarded. Each prize consists of a trip for winner and one (1) guest to one of the following locations of winner’s choice: (a) Seoul, Korea; (b) New Delhi, India*; or (c) Athens, Greece. Travel must be completed by October 31, 2025 and must be scheduled at least forty-five (45) days prior to the originating departure date. Trip includes round-trip coach air transportation for winner and winner’s guest from a major airport near winner’s home to the destination they chose from the above-stated choices; standard hotel accommodations for four (4) nights (one room); two (2) tickets to a famous local attraction in the designated country (as determined by Sponsor, in Sponsor’s sole discretion), and $2,000.00 awarded in the form of a check, payable to winner. See below for Prize Conditions. Approximate Retail Value (“ARV”) of each prize is as follows and depends on winner’s point of departure: (a) $8,300.00 for trip to Seoul, Korea; (b) $6,930.00 for trip to New Delhi, India; and (c) $6,900.00 for trip to Athens, Greece.
Prize Conditions:
*A thirty (30) day visa is required for travel to India. The Administrator will provide winner and winner’s guest with visa applications.
Winner and guest must possess a passport valid for at least six (6) months after the day of departure from country of winner’s choice with at least two (2) blank pages and will be required to submit a copy of their valid passports to Sponsor or Sponsor’s representative at the time travel arrangements are being made. The winner and winner’s guest must have all necessary identification and/or travel documents required for travel and entry into the country of winner’s choice (as described herein).
Ground transportation, upgrades, meals, gratuities, souvenirs, luggage fees, and all other expenses not specified herein are solely the winner’s responsibility. A minor child may accompany winner as a guest only if minor’s parent or legal guardian is the winner. Minor must be accompanied at all times during all prize-related activities by minor’s parent or legal guardian. The guest (or their parent or legal guardian if a guest is a minor) may be required to complete and return a Liability/Travel Release to the Administrator prior to Sponsor’s designated travel agency making travel arrangements. Once the guest is selected, they may not be substituted, except in Sponsor's sole and absolute discretion. All travel and accommodations are subject to availability and change. Selection of airport, airline and hotel is at Sponsor’s sole discretion. Winner will be required to provide a credit card prior to hotel check-in and is solely responsible for all incidental charges and may be required to sign an additional liability release for the use of the accommodations. Sponsor and Promotion Parties assume no responsibility for canceled, delayed, suspended or rescheduled events (including, but not limited to airline flights) or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations beyond their control. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Sponsor and Promotion Parties are not responsible for changes in schedule of any element of the prize or for any expenses incurred as a consequence of flight cancellation or delay. Sponsor and Promotion Parties are not responsible and will have no liability if the winner and/or their guest are for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. Winner and guest must travel on same itinerary. Winner is responsible for any loss of prize or portion of any prize after it has been delivered. Sponsor will not replace any lost or stolen portions of the prize. An unclaimed and/or unused prize element will be forfeited. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip.
Winner and guest fully understand that (a) the novel coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation or variation thereof, “COVID-19”) is extremely contagious and there is an inherent risk of exposure to COVID-19 in any place where people are or have been present; (b) no precautions, including any protocols that will be implemented from time to time by Sponsor or other governing authorities, can eliminate the risk of exposure to COVID-19; (c) while people of all ages and health conditions have been adversely affected by COVID-19, certain people have been identified by public health authorities as having greater risk based on age and/or underlying medical conditions; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition.
6. WINNER NOTIFICATION: The potential winners will be contacted by email and will be required to follow instructions within the notification within seventy-two (72) hours (beginning at the time the notification was sent), or prize may be forfeited, in Sponsor’s sole discretion. The potential winners will also be required to complete, sign and return an IRS Form W-9 (including their social security number) and an Affidavit of Eligibility/Liability Release with (where lawful) a publicity release (“Affidavit”) within seventy-two (72) hours (beginning at the time the Affidavit was emailed). Failure to return the Affidavit within the allotted time may result in prize forfeiture and the awarding of the prize to an alternate winner. Sponsor and Promotion Parties are not responsible for suspended or discontinued Internet or wireless service or a change in a winner’s email address, which may result in a potential winner not receiving a prize notification. If any prize notification or prize is returned as undeliverable, if a potential winner does not respond to the notification (as instructed within the notification), if a potential winner cannot be verified or is otherwise unable to accept the prize as stated, prize may be forfeited and awarded to an alternate winner, in Sponsor’s sole discretion. Sponsor and Promotion Parties are not responsible for any undelivered emails, including without limitation, emails that are not received because of a winner’s privacy or spam filter settings which may divert any Sweepstakes email, including any winner notification email, to a spam or junk folder. Upon forfeiture of the prize for any reason, no compensation will be given.
7. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from participant's participation in or attempt to participate in the Sweepstakes or ability or inability to upload or download any information in connection with the Sweepstakes. No responsibility or liability is assumed by the Sponsor or Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: Hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online or network communication problems; errors or limitations of any Internet or wireless service providers, servers, hosts or other providers; garbled, jumbled or faulty data transmissions; failure of any online transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the Website in whole or in part for any reason; traffic congestion on the Internet or the Website; unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of the Website or a participant’s email account used in connection with the Sweepstakes. The Sponsor and Promotion Parties are not responsible for any printing, typographical, technical, computer, network or human error which may occur in the administration of the Sweepstakes, the submission of entries, the announcement of the prizes, or these Official Rules, or any inaccurate or incorrect data contained on the Website. Use of Website is at user’s own risk. Sponsor and Promotion Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer or web-enabled device resulting from participation in the Sweepstakes. In the event of an identity dispute of a participant, the entry will be considered made by the authorized account holder of the email account the entry is submitted from at the time of entry. The “authorized account holder” is the person who is assigned to the email account by the online service provider. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, AND THE FOREGOING PARAGRAPHS SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF SPONSOR OR PROMOTION PARTIES’ NEGLIGENT, FRAUDULENT OR RECKLESS ACT(S) OR INTENTIONAL MISCONDUCT.
8. RELEASE OF LIABILITY: By participating in the Sweepstakes, participants agree (a) to release Sponsor, Promotion Parties, Meta, Instagram, Inc., and each of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, and representatives (collectively, the “Released Parties”), from any and all claims or actions of any kind whatsoever for injuries, damages or losses to persons and property, including bodily injury and death, arising from or relating to such participant's participation or inability to participate in the Sweepstakes; (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. By accepting a prize, each winner (a) agrees that the Released Parties will have no liability whatsoever for, and shall be held harmless by winner against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Sweepstakes; from acceptance, possession, misuse or use of any prize, including travel thereto, and (b) grants (and agrees to confirm grant in writing promptly upon request) to Sponsor and its designees, and each of their respective designees the right to use his or her name, photograph, likeness, voice, image, statements, biographical information, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet without review, notification or approval, and additional compensation or consideration, unless prohibited by law. The Released Parties are not liable in the event that any portion of the Sweepstakes (including any prize) is compromised, modified or canceled due to pandemics or epidemics, outbreaks of infectious disease or any other public health crisis including quarantine measures of any government authority or other restrictions, weather, fire, strike, acts of war or terrorism, government restriction, or any other condition beyond their control (a “Force Majeure Event”).
9. DISPUTE RESOLUTION: The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Sweepstakes. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Texas, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Texas. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Texas. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. This Sweepstakes is offered only in the United States and is governed by the laws of the state of Texas, and all claims must be resolved in the federal or state courts located in Collin or Dallas counties, Texas.
10. DISCLAIMER: Combined Codes are void if not obtained through authorized, legitimate channels, or if any part is defective, altered, duplicated, photocopied, forged, counterfeited, mutilated or tampered with in any way, or if Combined Codes contain or are the result of printing, seeding, typographical, mechanical or other errors, or do not contain proper security devices. Sole liability for a regular official Combined Code is limited to replacement with a free official Combined Code. Combined Codes may not be transferred, sold, bartered, auctioned (including through Internet auction sites), given away, traded or obtained through any source other than through the method described in these Official Rules. All submitted Combined Codes become property of Sponsor and will not be returned.
11. GENERAL CONDITIONS: The winners are solely responsible for any taxes on their prize, if any. The winners will be required to give their social security number to the Administrator as a condition of receiving the prize and will receive an IRS Form 1099 for the retail value of their prize. No cash equivalent or substitution of a non-cash prize is offered, except at the sole discretion of the Sponsor. No transfer of a prize is permitted. Unclaimed prizes will not be awarded. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute a prize with another prize of equal or greater value. If for any reason the Sweepstakes is not capable of running as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes or any other factors beyond Sponsor’s reasonable control, Sponsor and Administrator reserve the right, at their sole discretion, to (a) disqualify any individual who is responsible or who tampers with the operation of the Sweepstakes, and (b) cancel, modify or terminate the Sweepstakes. In the event of cancellation, Sponsor will randomly award the remaining prize(s) among all eligible, non-suspect entries received prior to cancellation. This Sweepstakes is offered only in the United States and all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Texas, without giving effect to any choice of law or conflict of law rules. By entering, participants consent to the jurisdiction and venue of the federal, state and local courts for Collin or Dallas Counties, Texas.

In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern. Additionally, any communication between participant and Administrator, Sponsor or its agencies regarding this Sweepstakes (e.g., phone calls, text messages, chats, emails, etc.) may be recorded for quality assurance and training purposes. Winners’ names will be included in a publicly available winner’s list.
12. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules or Affidavit will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THE WEBSITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
